Advisory & Financing Solutions (A&FS) is UniCredit's center of excellence for Corporate Finance, M&A Advisory, and Capital Markets transactions in top-level strategic dialogues.
Within A&FS, M&A is responsible for guidance and coordination of all M&A advisory services, offering financial advice to both private and listed corporate clients on extraordinary finance transactions and identifying key opportunities to develop segment/sector-specific M&A capabilities for all advisory-intensive products.
What you'll be doing
1. Originating and executing M&A transactions
2. Leading the execution of all work streams required to close M&A transactions
3. Driving technical delivery excellence by overseeing financial modelling, due diligence, and transaction execution
4. Conducting contract negotiations and concluding transactions
5. Coordinating company and market research activities
6. Steering the generation of marketing and pitch presentations
7. Interacting and communicating with other advisors of our clients (e.g., legal, tax, etc.)
8. Client management in M&A process preparations and execution
9. Working with UniCredit sector advisory teams and corporate coverage to originate and execute transactions
10. Identifying, developing, and pitching other financial advisory opportunities (ECM, DCM, financing)
What you'll need to succeed
1. Minimum of ten years practical M&A execution experience in an investment bank, M&A boutique, or equivalent
2. Experience in M&A sell-side/buy-side projects, including overseeing drafting of info memoranda, management presentations, due diligence preparation, and organization as well as Q&A management
3. Demonstrated ability to structure, execute, and successfully close related mandates
4. Strong deal management and technical execution skills
5. Experience in pitching for and originating M&A mandates based on company and market analyses
6. Strong deal origination, business development, and client relationship skills
7. Profound valuation expertise including comparable company and transactions analyses, cash-flow based valuation analyses (DCF, LBO)
8. Team player used to working within different team compositions, with leadership experience managing cross-functional teams
9. Responsible and accountable in own work
10. Strong work ethic and commitment to deadlines
11. High integrity, professionalism, and discretion with confidential information
12. Excellent skills in office software, databases (Refinitiv, Bloomberg, Capital IQ, Mergermarket), and client presentation formatting
13. Fluent in German and English (oral and written)
14. Knowledge and reliability according to relevant legal requirements (e.g., WpHG, FiMaNoG)
