Head of Corporate Secretary Office for State Street Bank International (SSBI), Managing Director Who we are looking for We are looking for a Head of Corporate Secretary Office, to be employed by State Street Bank International GmbH (SSBI), who will hold primary responsibility for company secretarial service. State Street Bank International GmbH (SSBI) is headquartered in Germany and has branches in Luxembourg, France, Italy, Switzerland, the Netherlands, and Poland. The perfect candidate will be able to support the Boards to operate efficiently and in compliance with their governance framework, and hold managerial responsibility for a professional multi-jurisdictional corporate secretarial unit. Head of Corporate Secretary Office responsibilities include: Leads Corporate Secretary function in State Street Bank International (SSBI) with primary focus on board governance including the ongoing maintenance and further development and design of the relevant board governance framework in close collaboration with the Legal Division Is a central point of reference and expertise for SSBI's Board Governance related questions. Guide the Management Board and the Supervisory Board in relation to best-in-class governance standards Provides and further develop the organizational infrastructure for SSBI's regular Board Meetings with focus on Executive Management Board, including preparation, facilitating and post-processing of these meetings in partnership with Board Management and Administration Head Develop and implement onboarding programs for new board members as well as board member training programs. Drafts, edits, and finalizes meeting minutes for the Supervisory Board and its Committees and Executive Management Board Maintain full oversight and system of records of all board-related legal documentation including relevant policies and procedures, resolutions, powers of attorney, signing authorities, and statutory filings Promotes compliance of SSBI Boards with State Street’s internal governance standards as well as regulatory / legal board governance requirements (e.g. German corporate law, German Banking Act, governance related guidelines issued by ECB, EBA, BaFin) Assumes ownership of the SSBI's signature/authorization processes Assumes ownership of processes to cope with KYC assessments on the legal entity Owns and maintain the policy & procedures administration infrastructure as well as the process for the adopting new policies and standards as well as the process for updating existing documents Ensures alignment with enterprise wide Corporate Secretary Organization What we value These skills will help you succeed in this role Strong organizational and planning skills, with ability to hold responsibility and work well under pressure Good networking abilities locally, across the other European legal entities and at the enterprise level Ability to solve practical problems and react quickly and calmly to changing circumstances Ability to think strategically and tailor appropriate messages to different management levels throughout the organization; leading and influencing without authority – also at the senior executive level Capable of working in both a team oriented as well as an independent manner Demonstrates a collaborative mindset by building partnerships across teams and the organization to drive collective success Education & Preferred Qualifications German law company secretarial qualifications are a pre-requisite. 10 years of relevant practical experience, ideally with a financial services company operating in a regulated environment. In-depth knowledge of financial services industry, and related regulatory and corporate law governance requirements are a pre-requisite Several years of exposure to C-Level Senior Management Leadership experience beneficial Proficiency in MS Word, MS Excel, MS Power Point and MS Outlook Business fluency in English and German is strongly recommended LI-HYBRID
