Your Role
As (Senior) Corporate Counsel – Legal M&A & Finance, you will advise internal clients on international mergers & acquisitions, including share and asset acquisitions and sales, joint ventures and strategic investments, and on financing matters. You will collaborate closely with external counsels and perform various tasks, including legal project management, drafting and commenting on transaction documents, reviewing legal due diligence reports, leading and supporting legal negotiations through to signing and closing, and managing post‑closing matters related to transactions. As a member of LE‑XPERTS Enabling Functions (LE‑X) in the Group Legal & Compliance (LE), you will be involved in several LE‑X and LE initiatives to enhance cross‑collaboration and your development. You will support mid‑ and long‑term financing through bond issuances and help safeguard our liquidity and M&A firepower. You will provide legal advice to our in‑house bank and consult closely with M&A and other transaction teams (e.g., Tax, Accounting, Treasury, Corporate) on different projects. Your role involves balancing interests, driving business strategy, and defining workable solutions to significant antitrust, compliance, and tax challenges. You will manage internal stakeholders and external partners, considering corporate governance aspects, and align with many internal and external stakeholders including senior management. You will build bridges between business and relevant Enabling Functions, internal Legal and Compliance teams, and external lawyers.
Who You Are
* Legal degree with a minimum of 5–7 years of experience working as a lawyer, preferably in an international law firm or in the legal department of a multinational company.
* Experience in German and European banking and finance law, and in corporate law in connection with M&A transactions is a must.
* Experience in competition law and/or FDI regulations is a plus.
* Comfortable working and interacting with all levels of management, including senior management.
* Open, energetic, empathic, proactive and a team player.
* Ability to take decisions, act under pressure and manage multiple priorities and tight deadlines.
* Solution‑oriented, pragmatic working style.
* Excellent organizational, collaboration and communication skills.
* Fluent in English and German, both written and verbal, including the ability to read, draft and negotiate legal documents.
