Corporate Governance Lawyer (gn)
For our client, a leading global universal bank with its European headquarters in Frankfurt, we are currently looking for a Vice President - Corporate Governance Lawyer (gn) to strengthen the Team.
This role ensures the legally sound and efficient management of corporate governance structures within a regulated banking environment. Acting as a key interface between executive leadership, supervisory bodies, and regulators, the position combines legal advisory responsibilities with operational governance execution
Tasks:
* Plan, coordinate, and document meetings of the Executive Board, Supervisory Board (incl. committees), and Shareholder Meetings in line with legal and internal standards
* Manage the annual board calendar, prepare agendas and materials, and ensure effective follow-up on decisions
* Oversee corporate housekeeping, including public filings, signing authorities, and delegation structures
* Coordinate governance topics across EU branches and subsidiaries, and serve as point of contact for internal and external stakeholders
* Liaise with regulatory authorities and ensure timely filings, responses, and communication on governance matters
* Provide legal advice on corporate governance and support the implementation of institutional development initiatives
Requirements:
* Legal education and qualifications – preferably with the Second German State Examination. Candidates with the First State Examination or a degree in business law (Wirtschaftsjurist) and relevant professional experience are equally considered for this role
* Fluent in both English and German, with strong written and verbal communication skills in both languages
* Several years of experience in the financial services sector (ideally banking), with a focus on corporate governance, corporate law, and regulatory matters
* Strong understanding of German corporate law and European banking regulation; experience with regulatory filings and corporate housekeeping is a plus
* Proven ability to manage board processes, including meeting coordination, documentation, and follow-up
* High integrity and sound judgment when dealing with confidential matters
* Proven ability to collaborate effectively with senior management and diverse stakeholders across multiple organizational levels and cultural backgrounds
