Overview
The Corporate Counsel – Commercial role will be part of Mitel's global Legal Team and act as a business partner to international stakeholders, focusing on contract management, drafting, and negotiations. Additionally, Mitel may require legal support across other functions such as HR/Workers Council, facilities, product liability, trade compliance, litigation, M&A, etc. Experience or interest in developing skills in these areas is desirable.
Responsibilities
1. Review and evaluate the terms and conditions of contracts, ensuring legal compliance.
2. Draft, negotiate, and execute contracts using templates or from scratch.
3. Manage all aspects of contract administration.
4. Collaborate with various teams (finance, product management, sales, marketing, R&D) to meet business objectives while mitigating risks.
5. Advise managing directors and departments on corporate law questions.
6. Ensure compliance with legal requirements and corporate policies.
7. Develop policies to align with regulatory and strategic goals.
8. Support corporate secretarial and governance needs.
Requirements
1. 3-5 years of industry experience in contract negotiation, SaaS, software licensing, procurement, data protection, civil and corporate law.
2. Fluent in English and German.
3. Qualified German Lawyer.
4. Willing to undergo governmental security screening for RFP responses.
5. Knowledge of public procurement law.
6. Self-motivated with strong multitasking and stress management skills.
7. Practical, solutions-oriented, and collaborative.
8. Excellent communication and organizational skills.
9. Attention to detail and continuous process improvement mindset.
10. Experience in an international environment.
