Senior Manager Transaction Tax (gn)
For our client, a globally active asset management firm headquartered in Frankfurt, we are currently looking for a Senior Manager Transaction Tax (gn) to strengthen the team.
Purpose of job
The role is responsible for providing transaction tax advisory on complex cross-border transactions within a global Private Markets platform, with a particular focus on restructurings, direct lending, financing structures and refinancings, while also contributing across the broader Private Markets investment universe. It ensures close collaboration with global investment teams as well as with colleagues from Legal, Operations and other transaction-related functions, covering fund structures and ongoing asset management topics throughout the investment lifecycle. Additionally, the role is responsible for actively shaping and advancing the use of technology, AI and automation in transaction tax processes.
Tasks
* Act as the primary tax specialist for investment transactions in the Private Markets space, with a strong emphasis on private credit and direct lending strategies, spanning tax due diligence, deal structuring and transaction documentation in collaboration with investment, legal and other relevant teams across a diverse range of institutional client types
* Advise on the tax dimensions of new financings, debt amendments, covenant waivers, refinancing events and distressed or workout situations, including complex special situation scenarios
* Assess how tax considerations affect deal and restructuring economics, financial projections and cash flow dynamics, taking into account implications at the investor level
* Contribute to the preparation of investment, refinancing and restructuring submissions for relevant approval bodies, ensuring alignment with key internal stakeholders throughout the process
* Oversee and coordinate the engagement of external tax counsel across multiple jurisdictions, managing quality, consistency and cost
* Address tax-related portfolio management matters within the direct lending and private credit book, covering withholding tax procedures, tax risk frameworks and interactions with tax authorities
* Drive the integration of AI-powered tools, automation and technology into transaction tax workflows
Requirements
* Fully qualified tax professional and/or lawyer with a strong academic background
* A minimum of 6 years of relevant experience in transaction tax (with a significantly higher track record expected at senior level), gained in an international law firm, professional services firm or a comparable in-house environment; demonstrated exposure to private credit, debt financing, restructurings, distressed situations or special situations is preferred; a solid background in financing tax and/or M&A tax will also be considered
* Sound grasp of cross-border deal structures, fund vehicles and financing arrangements typical in the Private Markets space, combined with the ability to manage a broad remit spanning both live transaction work and ongoing portfolio-related tax matters
* Strong analytical capabilities with a proven ability to translate complex tax issues into clear, actionable and decision-ready guidance
* Demonstrated ability to leverage AI tools, automation and technology in a tax context, paired with the drive and capability to scale and embed technology-enhanced and non-traditional working methods within a transaction-focused team; this is considered a key differentiating qualification and will form an explicit part of the evaluation process
* Proficiency in English is required; German language skills are considered an asset
