Senior Governance Specialist
We are seeking a seasoned governance specialist to join our team and provide expert guidance on corporate law, fund regulation, and client management.
About the Role:
* Manage a portfolio of clients with all aspects of company law and fund regulation.
* Organize board meetings, including minutes taking and follow-up on action points.
* Coordinate shareholders' meetings and draft resolutions.
* Review fund documentation with critical analysis.
* Work autonomously and with tight deadlines.
* Maintain corporate files of own client base.
* Liaise with regulatory bodies, notaries, lawyers, and banks.
* Provide timely and quality delivery of services to clients.
Key Responsibilities:
Client Management
* Manage a portfolio of clients with all aspects of company law and fund regulation.
* Develop and maintain strong relationships with clients.
Administrative Support
* Organize board meetings, including minutes taking and follow-up on action points.
* Coordinate travel arrangements and accommodation for clients and stakeholders.
Shareholder Services
* Coordinate shareholders' meetings and draft resolutions.
* Prepare and distribute meeting materials to shareholders.
Fund Administration
* Review fund documentation with critical analysis.
* Ensure compliance with regulatory requirements.
Team Collaboration
* Work collaboratively with colleagues to achieve team goals.
* Contribute to team-building activities and initiatives.
File Management
* Maintain corporate files of own client base.
* Ensure accurate and up-to-date record-keeping.
Communication
* Liaise with regulatory bodies, notaries, lawyers, and banks.
* Communicate effectively with clients and stakeholders.
Service Delivery
* Provide timely and quality delivery of services to clients.
* Meet and exceed client expectations.
Requirements:
* Degree in business administration, economics, law or finance.
* Proven experience in corporate governance or a legal position with exposure to the fund industry.
* Strong understanding of Luxembourg fund industry (actors, laws and regulations).
* Fluent in English and French. Any other language would be considered an asset.
* Diligent and well-organized.
* Good communication skills and ability to act proactively.
* Team-oriented.
