Your Role:
* Transaction Management: Manage the full life cycle of various entities and alternative investment funds, including incorporation, statutory changes, restructuring, and liquidations.
* Legal Drafting: Create and review legal corporate documentation such as board resolutions, shareholders' resolutions, financing agreements, partnership agreements, and contracts.
* Board Support: Plan board meetings and write detailed reports, resolutions, and minutes.
* Client Relationship Management: Serve as the primary point of contact for key clients on administrative and legal issues, acting as a director on various structures where required.
* Compliance & Regulatory: Ensure registration with the Trade and Companies Register (RCS), manage RBO registrations, and handle KYC due diligence, AML controls, and CRS/FATCA follow-ups.
* Financial Oversight: Assist in closing transactions, including payment management, budget analysis, and cash flow.
* Collaboration: Coordinate with banks, law firms, notaries, and the CSSF while building strong relationships with service providers.
* Supervision: Oversee and support the work of paralegals and junior team members.
Your Profile:
* Experience: At least 5 years of experience in a similar position within the Luxembourg financial sector.
* Education: Bachelor's degree in Law, preferably in Business Law.
* Languages: Fluent in English and French; Italian or another language is considered a strong asset.
* Technical Knowledge: Strong working knowledge of AIF laws and PE/RE funds.
* Interpersonal Skills: Excellent communication skills with an analytical and solution-oriented mindset.
