OHE supports OHD in enhancing corporate governance and improving management efficiency across Otsuka group of companies mainly in Europe. For our office in Frankfurt am Main, we are recruiting a Senior Manager Governance & Legal (m/f/d).
In this role, you will report to Director Governance & Legal. You will play a crucial role in developing robust group governance systems, ensuring alignment of regional and global governance practices, and addressing complex governance challenges. Job responsibilities:
* Contribute to developing, shaping and implementing group governance frameworks at various levels of organisation(s) in Otsuka group in close collaboration with OHD, Otsuka’s main operating companies located in Japan as well as relevant international affiliates. This involves creating a robust system of rules, practices, and processes that enhance the quality of decision making and implementation in Otsuka group.
* Research and serve as a resource on the best practices and guidelines of group governance including cross-border people mobility.
* Align regional/local governance practices with global group governance objectives by collaborating proactively with cross-functional teams of relevant international group companies.
* Identify, diagnose and treat a variety of governance challenges of Otsuka group cross-functionally with the other relevant departments of OHE as well as relevant international affiliates.
* Train people on the governance frameworks.
* Oversee the operation of the governance frameworks and evaluate their effectiveness.
* Prepare and manage essential documentation for all key meetings as well as governance issues, including agendas, minutes, charters, forward plans, and action logs, etc.
* Draft and/or review contracts and related governance documentation including presentation-slide/summary schema.
* Support OHE’s governance and legal matters including drafting, reviewing and negotiation of various types of agreements.
* This role may closely collaborate with our Compliance department, but it will not handle corporate compliance matters, including Data Privacy.
Your profile:
Education
- Hold a Master’s degree in Law, Business, Corporate Governance, or a related field
Experience
- A minimum of 5 years’ experience in legal or compliance roles, ideally working for a multinational life science company
Technical Skills
- Expertise in corporate law/ corporate governance. Familiarity with employment law/ tax law is a plus
- Project management skills
- Problem-solving and analytical skills
- Document (including contract) drafting and review skills
- Be fluent in English – both written and spoken. Any additional European languages and Japanese are a strong plus.
- PC literate (Excel and PowerPoint) and confident with reporting software packages
