Corporate Officer Job Description
We are seeking a highly skilled and experienced Corporate Officer to oversee legal and corporate proceedings from constitution to liquidation. The ideal candidate will have a strong background in corporate law, excellent communication skills, and the ability to work effectively in a team environment.
The role is responsible for managing legal and corporate proceedings, preparing board and shareholder meetings, and coordinating operations with external third parties. The successful candidate will have experience with entity management and overseeing portfolio of Special Purpose Vehicles (SPVs).
Key Responsibilities:
* Oversee legal and corporate proceedings from constitution to liquidation, including approval of annual accounts and publication of statutory changes.
* Prepare board and shareholder meetings and draft minutes.
* Coordinate operations with external third parties, such as banks, lawyers, and auditors.
* Manage a portfolio of SPVs and have experience with entity management.
Requirements:
* Minimum 2 years of experience as a Corporate or Legal Officer in Luxembourg.
* Fluent level of English both orally and in writing and thrive when working in international settings.
* Bachelor's or Master's degree in Law.
* Experience with SPV management from incorporation to liquidation.
* Meticulous and organized workstyle and strong interpersonal skills.
