Global Legal Function u2013 Corporate Governance (m/f/d) Position Responsibilities: The holder of this position provides expertise and support particularly in matters related to corporate governance, including but not limited to reports of the company or its governing bodies, and is involved in the preparation, execution, and follow-up of the Annual General Meetings of Fresenius Medical Care AG. Key Responsibilities: Drafting and preparing reports of the company or its governing bodies, such as the annual report, management report, supervisory board reports, and compensation reports, among others. Providing support in all matters of corporate governance. Assisting in the preparation, execution, and follow-up of the Annual General Meeting. Monitoring related party transactions, including all necessary follow-up actions, reports, and other measures. Supporting corporate law matters (group-wide) and managing legal entities. Providing support on matters related to the EU Market Abuse Regulation ( _MAR_ ), German Securities Trading Act ( _WpHG_ ), and similar regulations. Supporting all matters related to the compensation of board members or corporate bodies. Acting as an interface with internal departments such as Global Human Resources, Investor Relations, CFO Area, and the Supervisory Board Chairmanu2019s Office. Managing and coordinating with external experts. Handling special projects. Key Experience: Completed German legal studies (First and Second State Examinations); admission as a lawyer ( _Rechtsanwalt_ ) and/or in-house counsel ( _Syndikusrechtsanwalt_ ) is desirable. A doctorate, LL.M., MBA, or comparable qualifications are advantageous. 2u20133 years of professional experience in a company, international auditing firm, or a major law firm specializing in business law (as in-house counsel for an internationally active company and/or as a lawyer in an internationally oriented law firm). In-depth knowledge of corporate, stock corporation law, capital markets law, and corporate governance. Basic knowledge of business administration; knowledge of tax law is advantageous.
