BDO Luxembourg is seeking a Senior Corporate Officer to manage the corporate governance and company secretarial duties of investment funds.
Key Responsibilities
* Manage the full lifecycle of investment funds, including establishment, board meetings, capital changes, liquidation, etc.
* Organise and coordinate board meetings and general meetings, including agendas, convening notices, board packs, resolutions, and minutes.
* Draft legal and corporate documents: board and shareholder resolutions, proxies, minutes, certificates, and service agreements.
* Contribute to maintaining and updating statutory registers (shareholders and investors).
* Ensure timely filings with Luxembourg authorities and compliance with legal obligations.
* Liaise with external legal counsels, auditors, banks, and regulatory bodies.
* Monitor regulatory developments and ensure proactive compliance.
* Support corporate transactions, including reorganisations, capital increases, mergers, and financing.
* Supervise junior officers and review their work as needed.
* Collaborate on internal projects to enhance corporate governance and process efficiency.
Requirements
* University degree in Law or Corporate Law.
* 3-5 years of experience in a similar role within a fiduciary, law firm, asset manager, or corporate services provider.
* Strong knowledge of the Luxembourg Company Law (1915 Law) and relevant regulations.
* Familiarity with various corporate structures: SIF, RAIF, SICAV, SPV, partnerships.
* Sound understanding of AML/KYC obligations and CSSF requirements.
* Fluency in English and French (spoken and written) is required.
* Rigorous and detail-oriented with excellent organisational skills.
* Able to work autonomously and manage multiple priorities under tight deadlines.
* Team player with strong communication and interpersonal skills.
