Legal Manager (m/f/d)
Based in Wertheim Village or Ingolstadt Village
As our Legal Manager (m/f/d), you will be a key member of the legal team supporting both Wertheim Village and Ingolstadt Village. In this role, you will be involved in a broad range of legal matters, including contract drafting and negotiation, compliance, litigation, and regulatory monitoring. You will proactively track changes in local legislation and assess their impact on our operations. Acting as a trusted advisor, you will provide legal guidance to various departments and contribute to sound business decision-making.
Key responsibilities
The key responsibilities of this role will include some or all the following.
General
1. Lead the Legal team and be responsible for the team’s performance and development
2. Manage and/or assist with production of all commercial contracts, including brand related documents, correspondence, marketing and retail events
3. Assist with applications for administrative authorizations and maintain relationships with public entities
Commercialisation & Brand Relations
4. Liaise with the Group Legal & Development Director to manage external lawyers for commercialisation/leasing programme.
5. Support Group Legal and Development Director & Commercialisation/Leasing Team in the negotiation process of licences and know-how and service agreements for candidate Brands and restaurants.
6. Prepare the draft and final contractual documentation, brand terms sheets, approval sheets, and management sign off procedures in conjunction with the Group Legal & Development Director and legal counsel
7. Oversee the status of contract agreements and ensure that the outstanding ones are followed up
8. Participate in Brand Compliance Group and provide advice
Internal Relations and Support
9. Support Commercialisation, Retail, Operations, Marketing and Accounting Teams on all legal issues
10. Advise on any issues which may give rise to litigation such as insolvency arrears or potential breaches of licences and know-how and services agreements
11. Participate in Retail, Commercialisation, and Marketing overview meetings
Corporate/Banking
12. Liaise with the Central Legal Function on Corporate issues, including the preparation of board minutes, powers of attorney, company corporate transactions etc.
13. Banking relationships, including reporting and compliance obligations
Intellectual Property
14. Liaise with colleagues to manage and protect Value Retail intellectual property, which includes trademarks, copyrights, and word marks
Data Protection
15. Liaise with colleagues and external counsel to assure local compliance with data protection legislation
Administrative
16. Maintain and manage a five year diary
17. Assist with preparation of and distribution of internal reports
18. Liaise with Director of Corporate, Legal and Finance and the Group Legal and Development Executive to manage relationships with external legal advisors, especially regarding cost control
About You
We are looking for an individual who can display the following experience and skills:
19. Proven experience as a lawyer and possess legal qualification in local jurisdiction
20. More than 5 years of Post-Qualification Experience is preferrable
21. Sounds knowledge in leasing law and in general commercial contract with up to date knowledge of the relevant legislation
22. Proven experience in drafting legal documents with an eye for detail
23. Able to work well with all levels across the business and external partners and adapt to a fast pace environment Good client relationship management and negotiation skills
24. Ability to both work as a team and work independently with minimal supervision
25. Fluent in English and German language, any other language would be beneficial
